9. MISCELLANEOUS. The invalidation of this Agreement or any provision hereof is not a ground for termination of this Agreement, but shall not affect, and shall not be construed to be a waiver of, any other provision of this Agreement. The invalidity or unenforceability of any provision of this Agreement shall not affect the validity or enforceability of the other provisions of this Agreement, which shall remain in full force and effect. Either party may terminate this Agreement by providing five (5) days prior notice to the other party. Any notice to you or vendor by email shall be deemed given as received on the next succeeding day. 


 AUTHORIZATION. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Software for: (i) the purposes set forth in this License (limited to a single primary user and up to ten (10) users at any one time), and (ii) the purpose of enabling your organization to export drawings as AIM (Alternate Industry Model) files and/or ETABS files (limited to one (1) exporting instance per user and ten (10) exporting instances at any one time). This authorization is not a sale and you will not be required to pay us for the Software. Vendor, any of its suppliers, affiliates, subsidiaries, or any other parties providing services to vendor, shall have the right to audit your use of the Software at any time. Notwithstanding the foregoing, you agree that Vendor shall be entitled to audit your use of the Software and verify that you have completed all of the obligations set forth in Section 2. 


 PRODUCTION. You are hereby authorized to use the Software for the following purposes: (a) visualizing ETABS or SAP2000 files (including without limitation, OrthoDraw, AutoCAD, and Intergraph DWG files) and (b) exporting ETABS or SAP2000 files as AIM (Alternate Industry Model) files. For purposes of this Section 3, the Software shall be construed to mean the software components, software interfaces, software libraries, and components that are owned by CSI, which enable the Software to perform the above functionalities. 84d34552a1
