3. LICENSE AND USE. Luxriot grants you a limited, personal, non-transferable license to use the Software, solely for your own business purposes, provided that all rights are reserved with respect to the Software and all Software files as described below. Except as expressly provided herein, you do not acquire any rights to the Software through the purchase of licenses to the Software or otherwise.


5. TERM. This Agreement is effective upon your acceptance of all its terms and conditions and shall remain in full force and effect until terminated by you or Luxriot. This Agreement shall be governed by the laws of Denmark and the courts located in this jurisdiction shall have exclusive jurisdiction over all matters relating to the agreement or to the breach thereof. This Agreement shall be in all respects controlling as to all matters not covered by a separate written agreement between the parties in regard to the subject matter of this Agreement, and shall not be changed, altered or modified in any way except in writing and signed by the parties.


6. OWNERSHIP. You acknowledge that the Software is provided to you under licence and not as the result of any sale or grant of title to any property or intellectual property rights of any kind in relation to the Software. All intellectual property rights in the Software shall remain with Luxriot.


8. SUSPENSION AND TERMINATION. Notwithstanding anything to the contrary contained herein, either party may suspend or terminate this Agreement, including, without limitation, the provision of all or part of the Software and Services, for any reason, including, without limitation, if Luxriot fails to provide the Required Licenses or if you fail to comply with the terms of this Agreement. 84d34552a1
